Capital Dividend Account (CDA)
A Statutory Tax Mechanism Within Private Corporations
The Capital Dividend Account is a notional tax account available to Canadian private corporations. It tracks specific non-taxable capital amounts — including portions of capital gains and certain life insurance proceeds.
When sufficient credits exist, these amounts may be distributed to shareholders as tax-free capital dividends.
CDA does not enhance performance or generate new value. Its role is distributional — allowing previously positioned corporate capital to move efficiently to shareholders under defined tax rules.
Its practical usefulness depends on:
Underlying asset structure
Shareholder alignment
Timing and compliance precision
CDA is not a strategy. It is a structural outcome of disciplined planning.
